Agreement to Terms

These Terms of Service ("Terms") govern your access to the Prolite website at prolitee.com and your engagement of services provided by Prolite Ent Pvt Ltd, a company incorporated in India.

By visiting the website or engaging Prolite for any service, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of a company or organisation, you represent that you have the authority to bind that entity.

Our Services

Prolite provides end-to-end corporate experience solutions including:

  • Corporate Offsites, Retreats & Rewards and Recognition (R&R) Events
  • Corporate Event Management and MICE (Meetings, Incentives, Conferences, Exhibitions)
  • Team Building Activities — indoor, outdoor, and virtual formats
  • Culture Launch & Strategic Engagement Programmes
  • Employer Branding Campaigns and HR Communications

Specific deliverables, timelines, and fees for each engagement are governed by the mutually agreed Proposal or Service Agreement between Prolite and the Client.

Enquiries & Proposals

Submitting an enquiry or quote request through this website does not constitute a binding contract. A project engagement is formalised only upon written confirmation of a Proposal or Service Agreement and receipt of an advance payment as specified therein.

All proposals are valid for the period stated within the proposal document. Prolite reserves the right to revise pricing if a proposal lapses or the scope of services changes.

Payment Terms

Payment schedules are outlined in the confirmed Proposal or Service Agreement for each project. General terms applicable to all engagements:

  • An advance payment is required to commence planning and vendor bookings.
  • All amounts are exclusive of applicable GST unless stated otherwise.
  • Third-party vendor costs confirmed on behalf of the client are non-refundable once committed.
  • Invoices are payable within the timeline specified in the agreement.

Cancellations & Modifications

Cancellation or significant modification of a confirmed engagement must be communicated in writing. Cancellation charges apply based on the notice period prior to the event date and the extent of costs already committed to vendors and partners. These are specified in the relevant Service Agreement.

Prolite will make reasonable efforts to mitigate costs in the event of cancellation; however, non-recoverable third-party commitments remain the client's responsibility.

Client Responsibilities

To ensure successful event delivery, clients agree to:

  • Provide accurate participant details, preferences, and approvals within agreed timelines.
  • Designate a primary point of contact with appropriate authority to make decisions.
  • Ensure participants comply with venue, vendor, and activity safety guidelines.
  • Provide timely feedback and approvals to avoid delays in planning or execution.

Intellectual Property

All content on prolitee.com — including text, graphics, logos, event concepts, programme designs, and case studies — is the intellectual property of Prolite Ent Pvt Ltd and is protected under applicable copyright laws.

Custom event concepts, culture programmes, and branding materials developed by Prolite for a client become the property of the client upon full payment. General frameworks, methodologies, and templates developed by Prolite remain our proprietary assets.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared in the course of the engagement. Prolite will not disclose client-specific information to third parties except as required to deliver the agreed services or as required by law.

Limitation of Liability

Prolite's liability for any claim arising from a service engagement shall not exceed the total fees paid by the client for the specific project in question. We shall not be liable for indirect, incidental, or consequential losses, including those arising from circumstances beyond our reasonable control (force majeure), including natural disasters, government restrictions, or third-party failures.

Photography & Media Usage

Prolite may photograph or record events we manage for portfolio, marketing, and case study purposes. If the client or any participant objects, this must be communicated in advance. The client is responsible for obtaining any necessary consent from their employees or attendees for event photography.

Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or any service engagement shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

Changes to These Terms

Prolite reserves the right to update these Terms at any time. The current version will always be available on this page. For ongoing service engagements, the Terms in force at the time of project confirmation shall apply.
